2004 GENERAL MEETING

The Ordinary and Extraordinary General Meeting of shareholders of Compagnie de Saint-Gobain was held on Thursday June 10, 2004 in Paris.

The General Meeting ratified the appointment of Gian Paolo Caccini as director (in replacement of Eric d'Hautefeuille) and renewed the term of office of Jean-Louis Beffa, Isabelle Bouillot, Sylvia Jay, José Luis Leal Maldonado.

At its meeting following the Annual General Meeting, the Board of Directors re-appointed Jean-Louis Beffa as Chairman and Chief Executive Officer of Compagnie de Saint-Gobain.

The General Meeting also approved the distribution of a net dividend of EUR 1.15 per share (to which should be added a tax credit of up to EUR 0.575): payment entirely in cash as from Monday, June 24, 2004.
