2006 GENERAL MEETING

The Ordinary and Extraordinary General Meeting of Compagnie de Saint-Gobain was held on Thursday June 8, 2006 in Paris.

The General Meeting approved all of the resolutions. In particular, it appointed Pierre-André de Chalendar, Chief Operating Officer, as Director of Saint-Gobain to replace Daniel Bernard.

The General Meeting also approved the payment of a net dividend of €1.36 per share. The dividend will be paid entirely in cash on Thursday June 22, 2006.
