SAINT-GOBAIN BUYS THE REMAINING HOLDING OF PARIBAS IN POLIET'S CAPITAL

In accordance with the agreement reached between SAINT-GOBAIN and PARIBAS in may 1996, under which SAINT-GOBAIN was to acquire gradually all of POLIET shares owned by PARIBAS (56.6% of POLIET's share capital), Compagnie de SAINT-GOBAIN bought, on January 4th, 1999, the remaining holding of PARIBAS in POLIET's share capital, for a total amount of 411,3 million euros (2 698 million French francs).

Following this transaction, Compagnie de SAINT-GOBAIN, which now owns 96.13% of POLIET'S share capital, is considering making a cash tender offer for all remaining POLIET shares, to be followed by a compulsory buy-out (under French legal rules).

The trading of the POLIET shares has been suspended by the Société des Bourses Françaises (S.B.F.), pending the possible making of an appropriate filing by Saint-Gobain.
