ANNUAL GENERAL MEETING HELD ON THURSDAY, JUNE 5, 2003

The Ordinary and Extraordinary General Meeting of Compagnie de Saint-Gobain was held on Thursday June 5, 2003 in Paris.

The General Meeting ratified the appointment of Sehoon Lee, Co-Chairman of the Korean companies Hankuk Glass Industries and Hankuk Sekurit, renewed the term of office of Gérard Mestrallet, Chairman and Chief Executive Officer of Suez, and elected as Directors, Pierre Kerhuel, President of the Saint-Gobain Employees’ and Former Employees’ Shareholders’ Association (replacing Jean-Maurice Malot), and Denis Ranque, Chairman and Chief Executive Officer of Thales (replacing Bernard Esambert).

The General Meeting also approved the distribution of a net dividend of EUR 1.13 per share (to which should be added a tax credit of up to EUR 0.565). The dividend will be paid entirely in cash as from Monday, June 23, 2003.
